The book that did what my teachers could not
The reason for choosing Bob Tricker's Corporate Governance; principles, Policies and Practices is quite simple. The book did what my teachers could not; made me understand how Governance exactly works.
Some may fall asleep while trying to understand Corporate Governance and I can't blame them. I did too. Presentations from our teachers are long, dull and when the powerpoint presentation finally reached page 126 we were happy to leave the classroom. If you tried to look up something in the sheets afterward you got entangled in what seemed to be the notes of a mad scientist. I decided to give up.
Still i was curious about the subject. It seemed to me it would be a advantage to understand how corporate governance works in my line of work. Previous searched on Google and the book depository gave no books that I wanted to trust. A few months later I tried again and this book had just come out. It was still pricey, like all business books are, but decided to take the plunge.
This book taught me all the ins and outs of governance within the few hours of reading it. The use of language can be somewhat outdated at times and cause confusion but overall it is solid.
The book explains the history of governance, the relation between governance and management, directors and board architecture, Complex Corporate Structures, How governance is used in private and public companies, the functions of the board, the different governance codes (SoX, Company Codes etc), Models of Governance used all over the world, Theories and Philosophies, The reality of the boardroom, Directors Capabilities and Responsibilities, Board Effectiveness, Assessments of the board, Risk Assessment, Social Responsibility and the Future of Governance. by Frank Bijkersma
